Terms of Service

Effective Date: September 8, 2026

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Northwave Vocal Studio Inc. (“Northwave Vocal Studio Inc.,” “we,” “us,” or “our”), a vocal-studio business located at 4120 Napier Street, Burnaby, BC V5C 3R3, Canada.

By booking, purchasing, accessing, or using any services offered by Northwave Vocal Studio Inc., including one-on-one vocal coaching, recording session preparation, studio audition coaching, breath control and vocal technique training, pitch and ear training, performance confidence coaching, and voice warm-up and recovery sessions (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable policies referenced herein.

If you do not agree to these Terms, you must not book, access, or use the Services.

2. Scope of Services

Northwave Vocal Studio Inc. provides vocal training and related coaching services designed to support technique, performance development, preparation, and vocal wellness. Services may include:

  • One-on-one vocal coaching;
  • Recording session preparation;
  • Studio audition coaching;
  • Breath control and vocal technique training;
  • Pitch and ear training;
  • Performance confidence coaching; and
  • Voice warm-up and recovery sessions.

The Services are educational and coaching-based and do not constitute medical treatment, speech-language pathology, psychotherapy, or any regulated health service. We do not guarantee specific outcomes, including audition results, performance results, recording results, or vocal improvement at any particular rate.

We may modify, suspend, or discontinue any Service, session format, delivery method, or availability at any time, subject to any pre-paid commitments and applicable law.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, current, and complete information when booking or communicating with us;
  • Arrive on time and prepared for scheduled sessions;
  • Follow reasonable studio rules, safety instructions, and professional conduct expectations;
  • Disclose any relevant vocal, medical, or physical conditions that may affect participation in the Services;
  • Use the Services in good faith and for lawful purposes only;
  • Respect our premises, equipment, staff, contractors, and other clients;
  • Refrain from recording, photographing, or livestreaming sessions without our prior written consent and, where applicable, the consent of any other participant;
  • Not copy, reproduce, distribute, or commercialize any materials provided by us except as expressly authorized in writing.

You are solely responsible for your vocal health and for seeking appropriate medical advice if you experience pain, strain, illness, injury, or persistent vocal issues. You should stop any exercise or practice that causes pain, dizziness, or unusual discomfort and seek professional care as needed.

If you attend sessions while ill or knowingly expose others to a contagious condition, we may refuse service or reschedule the session to protect health and safety.

4. Payment Terms and Conditions

Fees, package pricing, session lengths, taxes, and any applicable administrative charges will be communicated at the time of booking or through our current published rate sheet. All prices are in Canadian dollars unless stated otherwise.

  • Payment may be required in advance, at the time of booking, or immediately upon completion of the session, depending on the service arrangement.
  • You authorize us and/or our payment processor to charge the payment method you provide for all fees, taxes, late cancellation charges, no-show fees, and other approved amounts.
  • All applicable federal and provincial taxes, including GST/PST/HST as applicable, will be added to the stated fees unless otherwise indicated.
  • Failed payments, chargebacks, or disputed charges may result in suspension of Services until all outstanding amounts are paid in full.
  • Any package, credit, or prepaid session must be used within the applicable validity period, if any, or as otherwise specified in writing.

We reserve the right to change our fees at any time. Fee changes will not affect sessions already paid for, except where required by law or expressly agreed in writing.

5. Cancellation and Refund Policy

Because session availability is limited, cancellations and rescheduling requests must be made with reasonable notice. Unless otherwise stated in a written booking confirmation:

  • Cancellations or rescheduling requests made with at least 24 hours’ notice may be accepted without charge;
  • Cancellations or rescheduling requests made with less than 24 hours’ notice may be charged in full;
  • Failure to attend a scheduled session (“no-show”) may be charged in full;
  • Late arrivals may result in shortened session time without refund or extension.

Refunds, if any, are issued at our discretion except where required by applicable Canadian consumer protection law. Prepaid packages, digital materials, completed sessions, and partially used offerings are generally non-refundable unless otherwise required by law or expressly stated in writing by Northwave Vocal Studio Inc.

If we cancel a session and cannot reasonably reschedule it, we will provide either a refund for the cancelled session or a studio credit, at our discretion, unless a different remedy is required by law.

6. Liability Limitations

To the maximum extent permitted by applicable law, Northwave Vocal Studio Inc., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost opportunities, loss of goodwill, or business interruption, arising out of or relating to the Services or these Terms.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the amount actually paid by you to Northwave Vocal Studio Inc. for the specific session or service giving rise to the claim during the three-month period preceding the event giving rise to the claim, or CAD $100, whichever is greater, except where such limitation is prohibited by law.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited in Canada.

You acknowledge that singing, vocal training, studio activity, and performance preparation involve inherent risks, including vocal strain, fatigue, physical discomfort, and emotional stress. You assume all such risks to the fullest extent permitted by law.

  • You may not reproduce, distribute, sell, sublicense, publicly display, publish, or create derivative works from our materials without our prior written consent.
  • Any unauthorized recording, copying, or exploitation of our materials may result in immediate termination of Services and legal action where appropriate.

Unless otherwise agreed in writing, any feedback, suggestions, or ideas you provide to us may be used by Northwave Vocal Studio Inc. without restriction or obligation to compensate you, to the extent permitted by law.

Where required by law, we will seek additional consent before collecting or using sensitive information.

9. Force Majeure

Northwave Vocal Studio Inc. shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events beyond our reasonable control, including but not limited to fire, flood, earthquake, severe weather, power outages, telecommunications failures, epidemic, pandemic, government restrictions, labor disruptions, equipment failure, acts of war, terrorism, or other force majeure events.

In such circumstances, we may suspend, reschedule, modify, or cancel affected Services without liability, subject to applicable law and any agreed refund or credit policy.

10. Changes to Terms

We may update or revise these Terms from time to time at our discretion. The updated Terms will be effective when posted or when otherwise communicated to you, unless a later effective date is stated.

Your continued booking or use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
